JWAVES Terms of Service

Effective Date: March 24, 2026

These Terms of Service ("Terms") govern access to and use of JWaves services, including the hosted platform, related reporting features, and any local client or tooling made available by JWaves (collectively, the "Services").

By creating an account, accessing the Services, or using the Services on behalf of an organization, you agree to these Terms on behalf of yourself and, if applicable, that organization.

1. Scope and additional policies

These Terms are the main contract for use of the Services. They incorporate by reference:

• the Acceptable Use Policy,
• the Refund Policy,
• the Cookie Policy, and
• where applicable, the Data Processing Addendum.

If there is a conflict, the order of precedence is:

1. an Enterprise Order or signed order form,
2. the DPA for data-processing matters,
3. these Terms, and
4. the incorporated policies.

2. Professional use and free plan limits

JWaves paid plans and enterprise arrangements are intended for professional and business use.

The `JWAVES Free` plan is limited to personal, non-commercial use only. It may not be used for business, professional, consulting, contractor, client-serving, or internal organizational work.

If you use the Services on behalf of a company, public body, association, school, customer, or other organization, or for any commercial or professional activity, you must use an applicable paid subscription or enterprise arrangement.

You are responsible for ensuring that your use of the Services is lawful and appropriate for your organization, project, and jurisdiction.

3. Accounts and authorized users

You must provide accurate account information and keep credentials confidential.

You are responsible for:

• activity occurring under your account,
• assigning access only to authorized users,
• keeping user and billing information current, and
• promptly notifying JWaves of suspected unauthorized access.

Seat-based access is personal to the assigned user unless reassignment is expressly permitted by your subscription or order.

4. Subscription plans, billing, and renewals

Certain Services are available only through paid subscriptions or enterprise arrangements.

Plan-specific usage restrictions, including personal-use-only limits for the `JWAVES Free` plan, form part of these Terms and must be respected.

You agree to pay all applicable fees, taxes, and charges associated with your selected plan. Paid subscriptions renew automatically unless cancelled before the renewal date.

Refunds, cancellation rules, and early termination treatment are governed by the Refund Policy.

Enterprise pricing, payment terms, and custom commercial terms are governed by the applicable signed order.

5. Acceptable use

Your use of the Services is subject to the Acceptable Use Policy.

You must not misuse the Services, bypass restrictions, interfere with operation of the platform, or use the Services for unlawful, unauthorized, or abusive activity.

6. Customer data and permissions

You retain responsibility for the data, floor plans, annotations, survey measurements, and related materials that you upload or submit through the Services ("Customer Content").

You represent and warrant that you have all rights, permissions, and legal authority required to:

• upload Customer Content,
• collect site-survey data,
• perform RF measurements on the relevant premises, and
• allow JWaves to process Customer Content to provide the Services.

You remain responsible for the accuracy, lawfulness, and suitability of Customer Content.

7. Privacy, security, and GDPR

JWaves uses security and preference-related cookies and storage as described in the Cookie Policy.

If JWaves processes personal data on your behalf as a processor, that processing is governed by the Data Processing Addendum.

You are responsible for ensuring that you have a lawful basis for any personal data included in Customer Content and for complying with applicable privacy, telecom, employment, and surveillance laws.

8. Intellectual property

JWaves and its licensors retain all rights, title, and interest in the Services, software, documentation, trademarks, and related intellectual property, excluding Customer Content.

Subject to these Terms and payment of applicable fees, JWaves grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Services during the applicable subscription term for your internal business purposes.

Except as expressly permitted, you may not copy, distribute, reverse engineer, resell, sublicense, or create a competing service from the Services.

9. Service changes and availability

JWaves may update, improve, modify, or discontinue features from time to time.

JWaves will use commercially reasonable efforts to keep the Services available, but does not guarantee uninterrupted, error-free, or fault-free operation.

10. Suspension and termination

JWaves may suspend or terminate access if:

• you breach these Terms or the Acceptable Use Policy,
• payment is overdue,
• continued access creates a security, legal, or operational risk, or
• JWaves is required to do so by law.

You may stop using the Services at any time. Cancellation of a paid plan does not itself entitle you to a refund except as expressly provided in the Refund Policy or a signed order.

11. Disclaimers

The Services are provided on an "as is" and "as available" basis.

To the maximum extent permitted by law, JWaves disclaims all implied warranties, including merchantability, fitness for a particular purpose, non-infringement, and that the Services will meet all technical, regulatory, or operational requirements of your specific deployment.

You are responsible for validating outputs, predictions, survey results, and deployment decisions before operational use.

12. Limitation of liability

To the maximum extent permitted by law, JWaves will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, data, or business opportunity.

To the maximum extent permitted by law, JWaves's aggregate liability arising out of or related to the Services will not exceed the amounts paid by you to JWaves for the affected Services during the 12 months preceding the event giving rise to the claim.

Nothing in these Terms limits liability that cannot be limited by applicable law.

13. Changes to these Terms

JWaves may update these Terms from time to time. Material changes may be communicated through the Services, by email, or by publishing an updated version with a new effective date.

Continued use of the Services after the updated Terms take effect constitutes acceptance of the revised Terms.
